Qspect User Service Agreement

Effective Date: 29 April 2026
These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you”, “your” or the “User”) and QCC TECH PTE. LTD., a company incorporated in the Republic of Singapore (“QCC”, “we”, “us” or “our”), governing your access to and use of Qspect, and all related services, data, content, and documentation (collectively, the “Services”).
1. Acceptance and Scope
1.1 Agreement to Terms
By accessing, browsing, registering on, or using Qspect in any way, whether or not you create an account, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any applicable supplementary terms. If you do not agree to any provision of these Terms, you must immediately cease all access to and use of Qspect.
1.2 Categories of Users

These Terms apply uniformly to all users of Qspect, including:

(a) Visitors: individuals who access or browse Qspect without creating an account. Visitors are bound by these Terms in respect of, at a minimum, Sections 6 (Intellectual Property), 7 (Prohibited Conduct), 9 (Disclaimers and Limitation of Liability), and 11 (Governing Law and Dispute Resolution);

(b) Registered Users: individuals or entities who create an account on Qspect (whether free or paid) through self-registration to access the Services. All provisions of these Terms apply in full to Registered Users.

1.3 Authority to Bind
If you are accessing or using the Services on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such event, “you” and “your” shall refer to both you individually and the entity you represent, and both shall be jointly and severally liable under these Terms.
2. Eligibility and Account Registration
2.1 Eligibility

You represent and warrant that you:

(a) are at least 18 years of age or have reached the age of legal majority in your jurisdiction;

(b) have full legal capacity to enter into a binding agreement;

(c) are not barred from using the Services under any applicable law;

(d) are not located in a country or territory subject to comprehensive international sanctions.

2.2 Account Creation
To access the Services, you must register for an account by providing a valid email address and such other information as may be required. You agree to provide accurate, current, and complete information during the registration process and to keep such information up to date at all times.
2.3 Account Security
You are solely responsible for maintaining the confidentiality and security of your account credentials (including your password). You shall not share, lend, transfer, sell, or otherwise make your account available to any third party. You shall immediately notify QCC upon becoming aware of any unauthorised use of your account or any other security breach. QCC shall not be liable for any loss or damage arising from your failure to safeguard your account credentials. You accept full responsibility for all activities that occur under your account.
2.4 Restrictions on Account Use

You shall not:

(a) create multiple accounts to circumvent usage limits, suspensions, pricing rules, or other restrictions applicable to the Services;

(b) share account credentials, API credentials, sessions, or access tokens with unauthorised persons or systems, or use any technical means to circumvent access controls, usage limits, or licensing restrictions;

(c) impersonate any person or entity, or misrepresent your identity, affiliation, or authority when registering for or using the Services.

3. Description of Services
3.1 Qspect Overview

Qspect is an AI-powered platform designed to help you evaluate sales leads, verify related business entities, and generate commercial and compliance-oriented insights for your internal evaluation, qualification, and research processes. By submitting basic lead-related information, such as an email address, website domain, phone number, company name, industry classifications, geographic information, other business-related data, or identifiers supported by the Services from time to time (“Submitted Data”), you authorise Qspect to process such Submitted Data for the purpose of generating analytical outputs. Where supported by the Services, inputs may also be provided through bulk upload, API submission, form-based entry, or other supported submission methods.

Based on Submitted Data and publicly available or licensed data sources, our service utilizes artificial intelligence (“AI”) to search publicly available information and return analytical outputs (“Outputs”), including but not limited to:

(a) AI-generated enterprise profiles and company intelligence reports;

(b) sales lead compatibility scoring and prioritisation rankings;

(c) such other analytical outputs as QCC may introduce from time to time.

3.2 Use of Third-Party AI Providers
You acknowledge and agree that Qspect utilises third-party AI providers (“AI Provider”) to process Submitted Data and generate analytical outputs. This means that data you submit to Qspect may be transmitted to and processed on servers operated by such AI Providers, which may be located outside of Singapore. Please refer to our Privacy Policy for further details on international transfers.
3.3 Service Modifications
QCC reserves the right to modify, upgrade, suspend, or discontinue any part of the Services at any time, with or without notice, for reasons including but not limited to technological improvements, changes in AI Provider availability, regulatory changes, or business strategy. QCC shall use reasonable efforts to provide advance notice of material changes via Qspect or email.
3.4 Output Retention
AI-generated Outputs are produced dynamically in response to your queries. QCC does not retain Outputs at the system level for any secondary purpose, including but not limited to model training, data mining, or sharing with other users. If your account includes a feature to view past query results, such data is stored solely for your convenience and will be permanently deleted upon account closure.
4. AI-Generated Content
THIS SECTION CONTAINS CRITICAL LIMITATIONS ON THE NATURE AND RELIABILITY OF THE SERVICES. PLEASE READ IT CAREFULLY.
4.1 Nature of Outputs
You acknowledge and agree that Outputs generated through Qspect are produced entirely by automated artificial intelligence models. No Output has been independently verified or endorsed by any human analyst. We provide Qspect purely as a technological tool, and we do not manually review the results nor guarantee their factual accuracy. By using the Services, you accept that Outputs are generated “as is” and must be independently evaluated by you.
4.2 No Guarantee of Accuracy

QCC makes no representation, warranty, or guarantee, express or implied, as to the accuracy, completeness, correctness, timeliness, reliability, or fitness for any particular purpose of any Output. Outputs may contain:

(a) factual errors, inaccuracies, or omissions;

(b) outdated or stale information that no longer reflects current circumstances;

(c) fabricated, hallucinated, or wholly fictitious content that may appear plausible but is not grounded in verifiable fact (a known limitation of large language models commonly referred to as “AI hallucination”);

(d) biases or distortions introduced by the training data, algorithms, or statistical models used by the AI Provider;

(e) incomplete or partial information due to limitations in publicly available data sources.

4.3 Reference Only

Outputs are provided for general informational and internal business reference purposes only. Outputs do not constitute and shall not be relied upon as:

(a) legal advice or a legal opinion;

(b) financial, investment, or accounting advice;

(c) a credit report, credit rating, or creditworthiness assessment;

(d) a definitive regulatory determination or binding compliance decision;

(e) a professional due diligence investigation or audit;

(f) an endorsement, certification, or verification of any entity, individual, product, or service;

(g) the sole or primary basis for any decision to accept, reject, terminate, or modify any business relationship, employment decision, contract, or commercial transaction.

4.4 User Responsibility for Decisions
You, as the end-user and sole decision-maker, bear exclusive responsibility for any actions, decisions, or consequences arising from your use of or reliance on any Output. You acknowledge that you must exercise your own independent professional judgement and, where appropriate, seek qualified professional advice before taking any action based on Outputs. QCC shall not be liable for any loss, damage, or adverse consequence arising from any decision made or action taken by you in reliance on Outputs.
4.5 Anti-Discrimination Obligation
You shall not use Outputs as the basis for any discriminatory action or decision against any individual, entity, or group on the basis of race, ethnicity, gender, age, religion, nationality, disability, sexual orientation, or any other characteristic protected by applicable law. You shall ensure that your use of Outputs complies with all applicable anti-discrimination, consumer protection, and fair decision-making laws in your jurisdiction.
5. User Data Submission and Compliance
5.1 Lawful Use Warranty

You represent, warrant, and undertake that:

(a) your use of the Services and all Outputs obtained therefrom shall be solely for lawful, legitimate, and authorised purposes;

(b) your use of the Services complies with all applicable laws and regulations of the jurisdiction(s) in which you operate.

5.2 Lawfulness of Submitted Data

Where you submit any Submitted Data to Qspect for the purposes of obtaining Outputs, you acknowledge and agree that:

(a) you are solely responsible for ensuring that you have a lawful basis for submitting such Submitted Data to Qspect, particularly where such data constitutes or includes personal data of third-party individuals;

(b) to the extent that the Submitted Data contains personal data of any third party, you represent and warrant that you have obtained all necessary consents, authorisations, or other lawful bases required under applicable data protection legislation, including but not limited to the EU General Data Protection Regulation (“GDPR”), Singapore’s Personal Data Protection Act 2012 (“PDPA”), the People’s Republic of China’s Personal Information Protection Law (“PIPL”), or the laws of any other relevant jurisdiction, prior to submitting such data to Qspect;

(c) you shall not submit any data that has been obtained through illegal, fraudulent, deceptive, or otherwise unlawful means;

(d) you shall not submit fabricated, falsified, or intentionally misleading data for the purpose of generating deceptive Outputs or for any other improper purpose;

(e) you, as the party that collected and determined the purpose of processing the Submitted Data, act as the data controller (or equivalent under applicable law) in respect of such Submitted Data.

5.3 QCC’s Role as Data Processor
With respect to Submitted Data containing personal data, QCC acts solely as a data processor (or equivalent under applicable law), processing such data exclusively for the purpose of delivering the requested Services and in accordance with these Terms and our Privacy Policy.
5.4 Indemnification for Unlawful Data Submission

You shall fully indemnify and hold QCC harmless from and against any and all claims, demands, actions, losses, damages, fines, penalties, costs, and expenses,including reasonable legal fees, arising from or in connection with:

(a) any breach by you of your obligations under this Section 5;

(b) any claim by a third party that the Submitted Data was collected, used, disclosed, or transmitted without lawful authority;

(c) any regulatory action, investigation, or penalty imposed on QCC as a result of your unlawful submission of data.

6. Intellectual Property
6.1 QCC’s Proprietary Rights
All intellectual property rights in and to Qspect and the Services, including but not limited to copyrights, trademarks, trade names, domain names, patents, trade secrets, database rights, software, algorithms, data models, analytical frameworks, user interface designs, graphics, text, and compiled datasets, are and shall remain the exclusive property of QCC or its licensors. Nothing in these Terms grants you any ownership interest in any of the foregoing.
6.2 Use of Outputs
QCC does not claim intellectual property ownership over the specific Outputs generated dynamically in response to your queries. Outputs are generated for your internal business reference purposes only. You may view and use Outputs within your account in connection with your own business operations. You shall not, and shall not permit any third party to, reproduce, distribute, sell, publish, or create derivative works from any Outputs, or use Outputs to train, fine-tune, or improve any artificial intelligence or machine learning system.
6.3 Submitted Data
You retain all ownership rights in and to the original Submitted Data that you provide to Qspect. By submitting such data, you grant QCC a non-exclusive, worldwide, royalty-free licence to use, process, and transmit such data solely for the purpose of providing the Services to you and as otherwise described in our Privacy Policy.
6.4 Restrictions

Except as expressly permitted under these Terms or with QCC’s prior written consent, you shall not, and shall not permit any third party to:

(a) copy, reproduce, mirror, frame, screenshot in bulk, cache, store, republish, redistribute, or publicly display any content from Qspect;

(b) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, prompts, data architecture, or analytical methodologies of any software, AI systems, or technologies underlying the Services;

(c) remove, alter, or obscure any proprietary notices, watermarks, or attribution on or within any content provided through the Services;

(d) use any content from Qspect to train, fine-tune, evaluate, or improve any artificial intelligence model, machine learning system, or automated decision-making system, whether owned by you or any third party.

6.5 Applicability to Visitors
The restrictions in this Section 6 apply to all users, including Visitors who have not created an account. Mere access to or browsing of Qspect does not grant any licence or right to use, reproduce, or distribute any content displayed thereon.
7. Prohibited Conduct
7.1 General Prohibitions

You shall not, in connection with your access to or use of Qspect or Services:

(a) use the Services for any purpose that is unlawful, fraudulent, defamatory, harassing, threatening, or otherwise harmful to any person or entity;

(b) infringe, misappropriate, or violate the intellectual property rights, privacy rights, or other legal rights of any third party;

(c) use any data or Outputs obtained from the Services to discriminate against, harass, stalk, or cause harm to any individual or group on any protected ground;

(d) use the Services to generate or distribute spam, unsolicited commercial communications, phishing campaigns, or any form of bulk messaging;

(e) upload or transmit any content containing malware, viruses, Trojan horses, ransomware, or any other harmful code;

(f) use the Services to compile mailing lists, contact databases, or lead lists for the purpose of resale, list brokering, or direct marketing operations, unless expressly authorised by QCC in writing;

(g) use Outputs as the sole basis for making automated decisions that produce legal effects or similarly significantly affect any individual, without appropriate human oversight and review.

7.2 Anti-Scraping and System Integrity

You shall not employ any automated means to access Qspect or extract data therefrom beyond what is expressly permitted through the Services, including but not limited to:

(a) web scrapers, crawlers, bots, spiders, or any form of automated data harvesting tool;

(b) scripts or programs that simulate human browsing behaviour, including header spoofing, CAPTCHA bypass, or proxy rotation;

(c) any technique designed to circumvent access controls, rate limits, IP blocking, or other protective measures implemented by QCC.

8. Fees and Payment
8.1 Fees

The Services are currently provided free of charge. QCC makes no commitment or guarantee that the Services will remain free indefinitely.

QCC reserves the right to introduce paid features, subscription plans, credit-based pricing, or other fee structures at any time. Should QCC introduce fees for any or all of the Services:

(a) QCC shall provide you with no less than thirty (30) days’ advance notice of such change via Qspect, email, or other appropriate channels;

(b) such notice shall include the applicable pricing, payment terms, and the effective date;

(c) your continued use of the Services after the effective date of the new fee structure shall constitute your acceptance of such fees;

(d) if you do not agree to pay the applicable fees, you must cease using the affected Services before the effective date.

8.2 Non-Refundable Purchases

To the extent that any fees are charged for the Services in the future, all purchases of credits, subscriptions, or other service entitlements shall be final and non-refundable once the relevant service has been delivered or made accessible, except:

(a) where a technical error attributable to QCC results in an incorrect charge;

(b) as otherwise required by applicable law.

8.3 Taxes
You are responsible for any applicable taxes, duties, or governmental charges arising from your use of the Services. Prices displayed on Qspect are exclusive of taxes unless otherwise stated.
9. Disclaimers and Limitation of Liability
9.1 “As-Is” Provision
Qspect and the Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, QCC expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement, and uninterrupted availability.
9.2 Third-Party Data and AI Providers

Without limiting the generality of section 9.1, QCC does not warrant or guarantee:

(a) the accuracy, reliability, completeness, or timeliness of any data sourced from third-party databases, public registries, or AI providers;

(b) the availability, performance, or functionality of any third-party AI provider used in connection with the services;

(c) that the services will meet your specific requirements or expectations.

9.3 Exclusion of Certain Damages

To the maximum extent permitted by applicable law, in no event shall QCC, its directors, officers, employees, affiliates, agents, or licensors be liable to you or any third party for any:

(a) indirect, incidental, special, consequential, exemplary, or punitive damages;

(b) loss of profits, revenue, business, goodwill, opportunity, data, or anticipated savings (whether arising directly or indirectly);

(c) loss or damage arising from or in connection with any Output, including but not limited to any inaccuracy, error, omission, hallucination, or misleading content contained therein;

in each case arising out of or in connection with your access to or use of (or inability to use) Qspect or services, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if QCC has been advised of the possibility of such damages.

9.4 Liability Cap

(a) During any period in which the Services are provided free of charge, QCC’s maximum aggregate liability to you for all claims arising out of or in connection with these Terms or the Services shall be zero (SGD $0.00).

(b) During any period in which you pay fees for the Services, QCC’s maximum aggregate liability to you for all claims arising out of or in connection with these Terms or the Services shall not exceed the total fees actually paid by you to QCC during the twelve (12) months immediately preceding the event giving rise to the claim.

(c) For Visitors who have not created an account, QCC shall have no liability whatsoever for any loss, damage, or expense arising from or in connection with their browsing of, or reliance upon any information published on, Qspect.

9.5 Force Majeure
QCC shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, epidemics, pandemics, war, terrorism, civil unrest, power outages, internet disruptions, cyberattacks, failures or outages of third-party AI Providers, government action, or changes in applicable law.
9.6 Third-Party Links and Services
Qspect may contain links to, or integrations with, third-party websites, applications, or services. Such links are provided for convenience only. QCC does not endorse, review, or assume any responsibility for the content, accuracy, security, or privacy practices of any third-party resource, and shall not be liable for any loss or damage arising from your use thereof.
9.7 Acknowledgement
You acknowledge that the limitations and exclusions set forth in this section 9 are fundamental elements of the basis of the bargain between you and QCC, and that QCC would not provide the Services without such limitations.
10. Indemnification

You agree to indemnify, defend, and hold harmless QCC, its directors, officers, employees, affiliates, agents, and licensors from and against any and all claims, demands, actions, losses, damages, costs, and expenses (including reasonable attorneys’ fees and investigation costs) arising from or in connection with:

(a) your breach of these Terms or any applicable law;

(b) your use of the Services, including any Outputs obtained therefrom;

(c) your violation of the rights of any third party, including intellectual property rights and data protection rights;

(d) any Submitted Data uploaded or transmitted by you that was collected, processed, or disclosed in breach of applicable data protection laws;

(e) any decision or action taken by you based on Outputs;

(f) any claim by a third party (including any data subject whose personal data was included in the Submitted Data) arising from your acts or omissions in connection with the Services.

11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.
11.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the SIAC Arbitration Rules for the time being in force. The seat of arbitration shall be Singapore. The language of arbitration shall be English. The tribunal shall consist of one (1) arbitrator unless the parties agree otherwise.
11.3 Injunctive Relief
Nothing in this Section 11 shall prevent either party from seeking provisional or injunctive relief from any court of competent jurisdiction for urgent matters, including but not limited to protection of confidential information or intellectual property rights.
11.4 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms, and the remaining provisions shall continue in full force and effect.
12. Termination
12.1 Termination by You
You may terminate your account at any time through the account settings on Qspect. Account termination does not entitle you to a refund of any fees previously paid (where applicable).
12.2 Termination by QCC

QCC may, at its sole discretion, suspend, restrict, or permanently terminate your account and access to the Services, with or without prior notice, if:

(a) you breach or are reasonably suspected of breaching any provision of these Terms;

(b) your use of the Services poses a security risk to Qspect or other users;

(c) QCC reasonably determines that your use of the Services is abusive, fraudulent, or harmful;

(d) QCC is required to do so by law, regulation, or order of a competent authority;

(e) QCC discontinues the Services or any material part thereof.

12.3 Effect of Termination

Upon termination of your account for any reason:

(a) all rights and licences granted to you under these Terms shall immediately cease;

(b) you shall immediately cease all use of the Services;

(c) QCC shall delete or anonymise your personal data immediately upon termination, except to the extent that retention is required by applicable law or regulation;

(d) Sections 4 (AI-Generated Content Disclaimers), 5 (User Data Submission and Compliance), 6 (Intellectual Property), 9 (Disclaimers and Limitation of Liability), 10 (Indemnification), 11 (Governing Law and Dispute Resolution), and this Section 12.3 shall survive termination.

13. Data Protection
13.1 Privacy Policy
We process personal data in accordance with our Privacy Policy, which forms an integral part of these Terms. By using Qspect, you acknowledge that you have read and understood our Privacy Policy.
13.2 Data Protection Officer

13.3 Cookies
Qspect uses cookies and similar tracking technologies. Please refer to our Privacy Policy for details on the types of cookies used and how you can manage your cookie preferences.
14. Modifications to These Terms
QCC reserves the right to amend, update, or replace these Terms at any time. Material changes will be notified by prominent notice on Qspect, by email to the email address associated with your account, or through in-Qspect messaging, no less than fourteen (14) days before the effective date. The updated Terms shall take effect upon publication unless otherwise stated. Your continued use of Qspect or Services after such publication constitutes your acceptance of the modified Terms. If you do not agree with the modifications, you must cease using Qspect and Services before the effective date of the updated Terms.
